Terms and Conditions for Backewich Bookkeeping 

Last Updated: April 20, 2025 This Terms and Conditions Agreement ("Agreement") outlines the terms under which Backewich Bookkeeping ("Bookkeeper") provides bookkeeping services to [Client Name] ("Client"). By engaging our services, you agree to be bound by these terms.

 1. Identification 

Bookkeeper: Backewich Bookkeeping 

Address: Po Box 284 Lumby, BC V0E2G0 

Client: [Client's Full Legal Name] 

Address: [Client's Street Address, City, Province, Postal Code] 

2. Services The Bookkeeper agrees to provide the following services: 

Accounts Payable 

Accounts Receivable 

Bank Reconciliation 

Bill Payment 

Budget Preparation 

Detailed General Ledgers 

Financial Statements 

General Bookkeeping 

Payroll  

Other: [Specify any additional services] 

The Client acknowledges that the Bookkeeper will not provide tax preparation or advisory services unless explicitly agreed upon in writing.  

 3. Fees 

The Client will pay the Bookkeeper based on the following: 

 Fixed Amount: $____ / Monthly  

All fees are in Canadian dollars (CAD) and are exclusive of applicable taxes, including GST/HST. 

Payment terms: Net 15 days from the invoice date. 

Nonpayment of invoices is considered a breach of this Agreement and may result in termination or fees. 

4. Payment 

The Client is responsible for reimbursing the Bookkeeper for any out-of-pocket expenses related to the services, including but not limited to software fees or travel, unless otherwise agreed. 

5. Client Cooperation 

The Client must provide timely access to all necessary documentation, financial records, and accounting systems required for the Bookkeeper to perform the services. 

The accuracy of all financial information provided by the Client is the Client's sole responsibility. The Bookkeeper is not liable for errors or omissions in the Client's provided data. 

6. Confidentiality 

The Bookkeeper agrees to maintain strict confidentiality of all sensitive personal and financial information, including financial documents, accounting systems, and oral information. 

The Bookkeeper will not disclose any such information to third parties without the prior written consent of the Client, except as required by law. 

7. Term 

The term of this Agreement is:

8. Termination 

This Agreement may be terminated: 

By both parties with 30 days' written notice. 

By the Client only with 30 days' written notice. 

By the Bookkeeper only with 15 days' written notice. 

Upon termination, any outstanding fees shall be paid immediately by the Client. 

9. Dispute Resolution 

Any disputes arising from this Agreement shall be resolved through binding arbitration in British Columbia, Canada. 

Arbitration shall commence when written documentation of the dispute is provided to the other party. 

The arbitrator's decision, including any payment award, shall be binding and enforceable under the laws of British Columbia. 

10. Limitation of Liability 

Neither party shall be liable for any indirect, incidental, special, or consequential damages, including but not limited to business interruption, loss of information, or lost profits, even if advised of the possibility of such damages. 

The Bookkeeper's liability is limited to the fees paid by the Client for the services provided or the Bookkeeper’s professional liability insurance coverage, whichever is greater. 

11. Governing Law 

This Agreement is made pursuant to the laws of the Province of British Columbia and the federal laws of Canada applicable therein. 

12. Amendments 

Any amendments to this Agreement must be made in writing and signed by both parties. 

13. Acceptance 

This Agreement becomes effective when signed by both the Bookkeeper and the Client. Each party shall retain a copy for their records.
